LICENSED APPLICATION END USER LICENSE AGREEMENT
These Terms of Service (“Terms”) are a legal agreement between you and AffinityClick Inc. (“Company,” “we,” “us,” or “our”) governing your access to and use of our websites (including https://dialappify.com/), mobile and web applications, APIs, features, content, and services (collectively, the “Services”), including the DialApp / DialAppify applications (the “Licensed Application”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy (https://dialappify.com/privacy-policy/). If you do not agree, do not use the Services.
IMPORTANT: THE SERVICES DO NOT SUPPORT OR CARRY EMERGENCY CALLS (INCLUDING 911 IN THE UNITED STATES AND CANADA AND 999/112 IN THE UNITED KINGDOM). DO NOT USE THE SERVICES TO CONTACT EMERGENCY SERVICES.
1) The Services & License
1.1 License. Subject to these Terms, we grant you a limited, personal, non-exclusive, non- transferable, non-sublicensable, revocable license to install and use the Licensed Application on devices you own or control and to access the Services for your individual use.
1.2 Ownership. We and our licensors own the Services and all related software, technology, designs, logos, and other materials (“Company IP”). Except for the license above, you receive no rights in Company IP. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Services or Company IP.
1.3 Updates. These Terms govern any updates or upgrades to the Services unless accompanied by additional terms.
2) Account, Eligibility & KYC
2.1 Account. You must create an account to use certain features. Keep your login credentials confidential and notify us immediately of unauthorized use. You are responsible for all activity under your account.
2.2 Age & Authority. You represent that you are at least the age of majority where you live and have authority to agree to these Terms. If you use the Services on behalf of another person or entity, you represent that you are authorized to bind them to these Terms.
2.3 Identity Verification (KYC). To purchase or use certain Services—including the assignment or use of phone numbers—you must complete identity verification and provide accurate information (e.g., legal name, date of birth, address, government-issued ID, and any other documents we or our carriers/regulators require). We may validate, approve, or reject a request at our discretion. Failure to pass KYC or to keep information accurate may result in limits, suspension, or termination.
2.4 Regulatory Bundles. Some regions require a verified “regulatory bundle” (e.g., UK number provisioning). Your ability to purchase or keep numbers active may depend on maintaining an approved bundle and promptly updating required documents or information.
3) Emergency Calling Is Not Supported
3.1 No 911/999/112. The Services cannot be used to contact emergency services, including 911 (U.S./Canada) and 999/112 (U.K.). Use your mobile carrier, landline, or an alternative service for emergencies.
3.2 Waiver. To the maximum extent permitted by law, you release and hold harmless the Company and its affiliates from any claims or losses arising from attempts to place emergency calls using the Services.
4) Acceptable Use & Restrictions
4.1 Prohibited Uses. You agree not to:
- access the Services by means other than our supported interfaces;
- copy, decompile, reverse engineer, or modify the Services or Company IP;
- interfere with or disrupt the Services or burden network capacity;
- use automated programs (bots, dialers) or non person-to-person traffic;
- engage in unusual usage patterns (e.g., very high-volume short calls, rapid calls to many numbers) or activity inconsistent with normal individual use;
- on unlimited plans, use the Services for call centers, conference lines, trunking, bulk messaging, spamming, or other multi-party/high-volume purposes;
- violate any law, third-party rights, or these Terms (including harassment, threats, hate speech, or illegal content).
4.2 Monitoring & Enforcement. We may (but are not obligated to) monitor use for security, fraud prevention, support, and compliance; we may limit or terminate access at any time for suspected violations.
4.3 Secondary Number. The Services are intended as a secondary/temporary communications solution and are not a replacement for your primary mobile or fixed service.
5) Privacy & Data
5.1 Privacy Policy. Our collection, use, and disclosure of personal information are described in our Privacy Policy (https://dialappify.com/privacy-policy/), which is incorporated into these Terms.
5.2 Your Responsibilities. If you collect or process personal data using the Services (e.g., your contacts), you are solely responsible for complying with applicable privacy laws (e.g., GDPR, U.K. GDPR, e-privacy rules, and anti-spam laws) and for obtaining all necessary notices/consents.
5.3 Controller/Processor. Where you collect or determine the purposes/means of processing personal data via the Services, you act as an independent Controller. You will not cause us to violate privacy laws and will indemnify us for related claims (see Section 12).
5.4 Retention. We may retain account, usage, KYC, and transactional records (including call detail records) for periods required by telecommunications, fraud-prevention, tax, and law- enforcement obligations in the jurisdictions where we operate.
6) Purchases, Credits & Billing
6.1 Pricing & Taxes. Prices are shown in U.S. dollars unless stated otherwise. Taxes and fees may apply.
6.2 Payments. You authorize us and our payment processors to charge your selected payment method for purchases, top-ups, subscriptions, and fees. Stored payment methods are tokenized by our PCI-compliant providers.
6.3 Credits.
- Paid credits do not expire, but we may deactivate an account after 12 months of inactivity. Contact Media@dialappify.com to reactivate and access remaining paid credits.
- Promotional/complimentary credits may expire; if not otherwise specified, they expire six (6) months after issuance.
6.4 Refunds. Unless required by law, all sales are final and we do not offer cancellations, refunds, or exchanges. If a pricing or availability error occurs, we may correct the error and cancel or refund affected orders.
6.5 Number Assignment. Number availability is not guaranteed. We or our carriers may reclaim or reassign numbers to comply with law or carrier policy; we will try to give reasonable notice where feasible.
7) Service Availability & Changes
7.1 We may modify, suspend, or discontinue all or part of the Services at any time without liability. We do not guarantee uninterrupted or error-free operation.
7.2 Information presented in apps, sites, or ads may be inaccurate or outdated despite our efforts; we may correct errors without prior notice.
8) Intellectual Property; Feedback
8.1 Trademarks. “DialApp,” “DialAppify,” and related marks and logos are trademarks of the Company or its licensors. You may not use them without written permission.
8.2 Feedback. If you provide comments or suggestions (“Feedback”), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and commercialize the Feedback without restriction.
9) Export & Government Use
9.1 Export. You may not use or export the Services in violation of U.S., Canadian, U.K., or other applicable export laws (including restrictions related to embargoed countries and restricted parties).
9.2 U.S. Government. The Licensed Application is “Commercial Computer Software” and related documentation; U.S. Government use is subject to the restrictions in 48 C.F.R. §12.212 or §227.7202, as applicable.
10) Disclaimers
10.1 AS IS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON- INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
10.2 NO EMERGENCY CALLING. THE SERVICES DO NOT SUPPORT EMERGENCY CALLS (911/999/112). SEE SECTION 3.
11) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER THE COMPANY NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS ARE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION; OR SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED FIFTY DOLLARS (USD $50) (OR, IF REQUIRED BY LAW, THE MINIMUM HIGHER AMOUNT MANDATED).
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the fullest extent permitted by law.
12) Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, agents, and suppliers from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use or misuse of the Services; (b) your breach of these Terms; (c) your violation of law or third-party rights; or (d) your processing of personal data in connection with the Services.
13) Termination & Suspension
We may suspend or terminate your access immediately, with or without notice, if we believe you violated these Terms, law, third-party rights, or for security, fraud prevention, or regulatory reasons. Upon termination, your license ends and you must cease use of the Services. Sections intended to survive (including 3, 5–12, 15–19) will remain in effect.
14) Regional Terms & Consumer Rights
14.1 Multi-Region Operations. We operate in the United States, Canada, and the United Kingdom. Local laws (e.g., consumer protection, privacy, telecom) may grant you non-waivable rights; these Terms apply except where local law requires otherwise.
14.2 U.K. Users. Nothing in these Terms limits rights you may have under U.K. consumer law.
14.3 U.S./Canada Users. Applicable provincial/state consumer protection rules may apply and prevail where mandatory.
15) Governing Law & Venue
These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the courts located in Ontario, Canada for all disputes arising out of or relating to these Terms or the Services. You waive trial by jury to the extent permitted by law.
16) Changes to Terms
We may change these Terms from time to time. If we make material changes, we will provide notice (e.g., by posting in the app or on the website) at least 30 days before the changes take effect. Your continued use after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.
17) Notices & Electronic Communications
You agree to receive notices electronically to the email associated with your account or within the Services. It is your responsibility to keep your contact details up to date. Electronic documents and signatures are deemed “in writing” and enforceable.
18) Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
19) Miscellaneous
If any provision is found unenforceable, the remainder will remain in effect. Our failure to enforce any right is not a waiver. These Terms (plus the Privacy Policy and any applicable service-specific terms) are the entire agreement between you and us regarding the Services and supersede prior or contemporaneous agreements. We may provide links or access to third-party services; we are not responsible for third-party content, terms, or practices.
